Partner Agreement

These Terms and Conditions ("Terms," "Agreement") represent a legally binding commercial contract entered into between Pirates Ad ("Network," "we," "us," or "our") and any entity, corporation, agency, sole proprietor, or individual ("Partner," "You," "User," "Advertiser," or "Publisher") accessing our marketing websites, performance tracking platforms, proprietary APIs, or affiliate services.

By registering an account, submitting an onboarding form, generating tracking links, running digital media campaigns, or executing an Insertion Order (IO), you unconditionally accept and agree to be bound by all terms, policies, and schedules set forth herein.

To utilize our network capabilities, partners must register for an official publisher or advertiser portal account:

The core foundation of Pirates Ad is high-intent, clean, transparent, and authentic human traffic. Publishers agree to strictly deliver traffic that complies with the explicit rules outlined in each campaign offer specification.

Strictly Prohibited Traffic Sources & Methods:

Attribution Verification: Pirates Ad continuously verifies attribution validity via server-to-server (S2S) postbacks, IP proxy detection, device integrity checks, and conversion time-to-action (CTA) heuristics. Traffic violating advertiser guidelines will be disqualified from settlement.

Brands and advertisers partnering with Pirates Ad to acquire customers agree to the following operational parameters:

• Truth in Advertising: Creatives, landing pages, and offers must comply with the Advertising Standards Council of India (ASCI) code and consumer protection laws. Prohibited verticals include deceptive financial schemes, counterfeit goods, unlicensed pharmaceuticals, illegal gambling, and adult exploitation.
• Tracking Reliability: Advertisers must maintain functional postback URLs or tracking pixels. In the event of advertiser tracking server outages exceeding 4 hours, conversions will be estimated and billed based on historical 7-day average conversion rates.
• Reconciliation Timeline: Advertisers must audit and reconcile conversion logs within a maximum of 15 calendar days following the end of each billing month. In the absence of timely written dispute notices, conversion logs are deemed conclusively approved.
• Prepayment & Credit Limits: Campaigns operate under prepayment terms unless an approved credit facility has been formalized via a signed Insertion Order (IO).

Commissions and billing disbursements across our performance network are governed by the following standardized schedules:

Currency & Wire Fees: Disbursements are remitted in USD or INR via Wire Transfer, NEFT/RTGS, or authorized payment platforms. Routine intermediary banking wire fees or currency conversion charges levied by receiving institutions remain the partner's sole responsibility.

All software, algorithms, tracking engines, user interfaces, documentation, logos, trade dress, trademarks, and copyrightable materials comprising Pirates Ad remain the exclusive intellectual property of Pirates Ad and its licensors.

Partners are granted a limited, revocable, non-exclusive, non-transferable license to access the portal and utilize provided tracking tags solely for the purpose of executing campaigns under this Agreement. You shall not decompile, reverse engineer, scrape, disassemble, or create derivative works based on our technology.

Partners agree that all commercial offer payouts, advertiser campaign lists, proprietary tracking metrics, conversion volumes, and technical specifications disclosed during collaboration constitute strictly confidential proprietary information.

THE PIRATES AD NETWORK, SERVICES, SOFTWARE, AND TRACKING PROTOCOLS ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS. PIRATES AD EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR PLATFORM WILL OPERATE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CAMPAIGNS WILL PRODUCE SPECIFIC REVENUE OR CONVERSION TARGETS.

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT SHALL PIRATES AD, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE TO ANY PARTNER FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, DATA LOSS, GOODWILL DAMAGE, OR BUSINESS INTERRUPTION) ARISING OUT OF THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE).

PIRATES AD'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THIS AGREEMENT SHALL BE STRICTLY LIMITED TO AND NOT EXCEED THE TOTAL FEES RETAINED BY PIRATES AD FROM THE CLAIMANT DURING THE THREE (3) MONTHS PRECEDING THE OCCURRENCE GIVING RISE TO THE CLAIM.

Partner agrees to defend, indemnify, and hold harmless Pirates Ad, its parent entities, subsidiaries, officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, costs, and reasonable legal fees arising out of or related to: (i) Partner's breach of this Agreement; (ii) prohibited, fraudulent, or non-compliant traffic generated by Publisher; (iii) deceptive, unlawful, or infringing creatives or products provided by Advertiser; or (iv) Partner's violation of applicable privacy laws, ASCI regulations, or intellectual property rights.
